Terms of Use

This document sets out the general contractual framework that applies between us when you benefit from the certification, inspection, testing, and training services provided by ASİS UK.

Parties and Definitions

These Terms of Use apply between ASİS UK (whose contact details are stated above) on the one part, and the natural or legal person ('Customer') benefitting from the services provided by our Company on the other part. For the specific subject matter of each engagement, a separate offer acceptance document or service agreement is issued; in the event of a conflict between these Terms of Use and the bilateral agreement, the provisions of the bilateral agreement prevail.

  • Customer: the legal entity or natural person benefitting from our Company's services through offer acceptance or signed agreement
  • Service: all activities provided under the headings of certification, inspection, testing, training, and consultancy
  • Report / Certificate: written or digital deliverables issued by our Company as a result of the service

Subject and Scope of the Agreement

The subject of the agreement is the provision by ASİS UK of services to the Customer and the payment of the agreed fee by the Customer in return. The technical scope of each service, the standards to be applied, and the deliverables are further detailed in the offer acceptance document or service agreement.

Conditions for Service Delivery

Our Company operates within its accreditation scope and in accordance with the relevant national and international standards. The procedural steps of service delivery follow the procedures prescribed by the relevant accreditation body, statute, and technical standards.

  • Inspection or certification requests outside the accreditation scope may be declined.
  • When standards are updated, the service procedure is renewed in line with the newly effective standards.
  • Our Company may engage third-party subcontractors during service delivery; this is subject to prior notice to the Customer.

Customer Obligations

The proper delivery of the service depends on the Customer fulfilling the following obligations.

  • Providing the information, documents, and samples required by the service completely, accurately, and on time
  • Ensuring the necessary occupational health and safety conditions for services involving site inspection
  • Cooperating reasonably with our Company's personnel regarding site access and required technical information
  • Paying fees within the due dates and on the terms set out in the agreement
  • Not using the issued report and certificate beyond their intended purpose; not using the ASİS UK brand without permission

Fees and Payment

The service fee is set out in the offer issued by our Company and becomes binding upon the Customer's written acceptance. Unless the offer states otherwise, fees are exclusive of VAT. Late payments accrue interest at the deposit rate published by the Central Bank of the Republic of Türkiye; late payments not arising from force majeure may justify suspension of the service.

Independence and Impartiality

ASİS UK strictly maintains the 'third-party' role required by accreditation bodies. Personnel having economic, personal, or institutional ties to the Customer or to the outcome of the service are not assigned to the relevant audit; potential conflicts of interest are assessed and managed prior to certification.

The Customer agrees not to provide our Company's personnel with any direct or indirect benefit and not to offer gifts, payments, or other inducements intended to influence the outcome of reports.

Confidentiality and Data Protection

All commercial, financial, and technical information provided to our Company under the service, as well as audit findings obtained, are confidential and are not shared with third parties except as required by law or by request of the accreditation body. Details on the processing of personal data are set out in our Company's Privacy Policy.

Intellectual Property Rights

All intellectual property rights related to our Company's methodologies, procedures, training materials, software, and digital certificate platform are reserved. The Customer may use reports and certificates delivered as a result of the service only for the legitimate needs of its own business; such deliverables may not be modified, partially quoted, or presented in a misleading manner. The ASİS UK brand, logo, and visual identity elements may be used only with written permission.

Liability and Limitations

Our Company delivers the service with international professional care and diligence. Liability arising from the service may not exceed the service fee set out in the agreement; indirect damages, loss of profit, and damages arising from third-party claims fall outside the scope of liability. Consequences arising from incomplete or inaccurate information provided by the Customer cannot be attributed to our Company.

Force Majeure

Extraordinary events outside the parties' control that cannot be prevented by reasonable measures (earthquake, flood, epidemic, war, terrorism, general strike, decision of a competent authority, national/international supply chain disruption) constitute force majeure. The parties are not held liable for non-performance during force majeure; if force majeure lasts longer than 30 days, either party has the right to terminate the agreement unilaterally.

Dispute Resolution and Jurisdiction

The parties shall first seek to resolve disputes arising from these Terms of Use in good faith through negotiation. Where disputes cannot be resolved through negotiation, the courts and enforcement offices of Bursa shall have jurisdiction. The parties may also agree in writing to refer the dispute to arbitration before the Arbitration Centre of the Union of Chambers and Commodity Exchanges of Türkiye.

Effect and Other Provisions

These Terms of Use take effect from the 'Last Updated' date at the top of the page. ASİS UK may amend this document in response to legislative changes or updates to our business processes; amendments take effect from the moment they are published on this page. Where material changes occur, our customers are also notified separately.
